Voucher Terms and Conditions

These Terms govern your purchase of Vouchers from Novo42. By completing a purchase you confirm that you have read, understood, and agreed to be bound by them.
1. Who we are
Novo42 (Vallivo (Pty) Ltd t/a Novo42, registration number 2024/167596/07) (“Novo42”, “we”, “us” or “our”) issues and sells Vouchers in its own name as principal issuer. We are not a financial services provider, payment institution, electronic money institution, investment firm, or securities dealer. We do not offer, broker, or facilitate FX trading, investment products, or any other licensed financial services.
Statement descriptor notice: Your bank or card statement will typically show N42VOUCHER*[MERCHANT NAME] or a similar descriptor for Voucher purchases. If you do not recognise a charge, please contact us before raising a chargeback.
2. Definitions
The following terms have the meanings set out below:
- “Voucher” means a closed-loop digital entitlement issued by Novo42 in its own name, redeemable solely within the relevant Platform Operator’s ecosystem for that Platform Operator’s own products, services or platform credits. A Voucher is not cash, not a bank deposit, not electronic money, not a general payment instrument, and does not create a repayment claim against Novo42.
- “Platform Operator” and “Provider” means the third-party entity that operates the platform or service on which the Voucher is redeemed. The Platform Operator is independent of Novo42.
- “Provider Product Programme” means the platform, wallet, account or service operated by the Provider that a Customer accesses using value applied on redemption of a Voucher.
- “Face Value” means the monetary value of a Voucher at the time of purchase.
- “Purchase Price” means the amount paid by the Customer to Novo42, which may differ from the Face Value.
- “Issue Date” means the date on which Novo42 confirms your purchase and transmits the equivalent value to the Provider.
- “Customer / you / your” means any person who purchases a Voucher from Novo42 through an authorised checkout.
- “Platform T&Cs” means the terms published by the relevant Platform Operator governing use of its platform, wallet or account.
- “CPA” means the Consumer Protection Act 68 of 2008.
3. What you are buying
When you purchase a Voucher from Novo42, via the Platform Operator, you are buying a Voucher only. Novo42 issues the Voucher in its own name. On purchase, Novo42 transmits the equivalent value to the Provider, which applies it immediately to your account or wallet on the Provider’s platform (instantaneous redemption). You are not purchasing, subscribing to, or obtaining any right to use the Provider’s goods or services directly from Novo42.
Novo42 does not provide any regulated financial service in connection with the sale of Vouchers. Any financial services you access after redemption are provided solely by the Platform Operator under its own licences and regulatory obligations.
By purchasing a Voucher you acknowledge that: (a) the Platform Operator is a separate legal entity from Novo42; (b) your relationship with the Platform Operator is governed by the Platform T&Cs; (c) Novo42 has no control over the Platform Operator’s services, systems or conduct; and (d) Novo42 does not guarantee that the Platform Operator’s services will be available or that redemption will be successful.
4. Eligibility
By purchasing a Voucher you represent and warrant that:
- you are at least 18 years of age and have legal capacity to enter into a binding contract;
- the purchase is not prohibited by applicable law in your jurisdiction;
- you are purchasing for your own use or a legitimate business purpose, and not on behalf of a third party without their consent; and
- you are not acting to circumvent any law, regulation, sanctions regime, or the Platform T&Cs.
5. Purchase, delivery and VAT
5.1 Order and delivery
A binding purchase contract is formed when Novo42 issues your purchase confirmation. Vouchers are transmitted to the Provider in real time upon payment confirmation. In the event of a technical delay, please allow up to 24 hours. If the value has not been applied to your Provider account within 24 hours, contact us at support@novo42.com.
5.2 Pricing
All prices are displayed in the currency specified at checkout. Currency conversion rates or third-party processing fees may apply depending on your payment method.
5.3 VAT
Novo42 is the issuer and supplier of Vouchers for VAT purposes. VAT treatment depends on the legal characterisation of the Voucher under applicable law. Where a Voucher is treated as a prepaid instrument or closed-loop credit, VAT may not be charged at the point of issue. Where it is treated as a taxable supply, VAT will be charged at checkout. Any VAT shown at checkout applies accordingly. You remain responsible for any tax consequences arising from your use of the Provider’s services.
6. Redemption
Vouchers are applied to your Provider account in real time. Check the product details and confirm the correct Provider before completing your purchase. Once transmitted and applied, no reversal is possible. Before purchasing it is your responsibility to:
- hold a valid, verified account with the relevant Platform Operator;
- comply with all Platform T&Cs, including KYC/AML requirements; and
- be aware that the value in your Provider account is subject to the Provider’s own expiry and dormancy policies under the Platform T&Cs.
Novo42 accepts no liability for value that cannot be applied due to: (a) your failure to comply with the Platform T&Cs or to maintain a valid Provider account; (b) suspension or closure of your Provider account; (c) Provider system downtime; or (d) the Provider ceasing operations. The legal relationship in respect of the Provider Product Programme is solely between you and the Provider.
7. Refunds, chargebacks and CPA rights
7.1 General policy
All sales are final once a Voucher has been successfully transmitted to the Provider, except where mandatory law requires otherwise or where Novo42 confirms a non-delivery or defect attributable to Novo42. No refund is available once a Voucher has been applied to your Provider account, or is rendered unusable by your breach of the Platform T&Cs.
7.2 Non-delivery or defect
If your Voucher has not been applied within 24 hours, or if a Voucher is technically defective due to an error by Novo42, contact us at support@novo42.com within 7 days. We will investigate and, if the failure is attributable to Novo42, re-issue the Voucher or refund the Purchase Price at our discretion.
7.3 Chargebacks
If Novo42 receives a chargeback request and has evidence that the Voucher was successfully transmitted and applied, Novo42 may contest the chargeback and notify the Provider to suspend the applicable credit. Novo42 may block future purchases from you where a chargeback has been raised. You warrant that any chargeback you raise is genuine.
7.4 CPA — minimum validity period
Section 63 of the CPA requires prepaid instruments to remain valid for at least three years from the date of issue. In Novo42’s model, the Voucher is transmitted to the Provider and applied in real time on the Issue Date. Where transmission succeeds, the three-year validity obligation is fulfilled and Novo42 bears no further obligation. Where a technical failure attributable to Novo42 prevents transmission, Novo42 will honour the Voucher for three years from the Issue Date. Novo42 may not charge you any fee for exercising your rights under section 63 of the CPA.
7.5 Statutory rights
Nothing in this clause limits any rights you have under applicable mandatory consumer protection law.
8. Acceptable use
You may not purchase Vouchers for money laundering, terrorist financing, fraud, sanctions circumvention, or any other unlawful purpose, or use another person’s payment credentials without authorisation. Novo42 may immediately cancel, void or suspend your purchases and block future purchases where it suspects: (a) misuse or unlawful activity; (b) false or inaccurate information; (c) breach of these Terms; (d) risk to Novo42 or its payment partners; or (e) applicable law or a regulatory authority requires it. Novo42 co-operates with law enforcement and regulators as required.
9. Novo42’s liability
Novo42’s role is limited to issuing and selling the Voucher. Novo42 is not responsible for the Platform Operator’s systems, KYC outcomes, account approvals, platform downtime, trading or investment outcomes, or regulatory status. To the maximum extent permitted by law, Novo42’s total liability in connection with any Voucher purchase shall not exceed the Purchase Price paid for that Voucher. Novo42 is not liable for indirect, consequential, special or incidental losses.
Nothing in these Terms excludes or limits Novo42’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable mandatory law.
Novo42 will take reasonable steps to keep its checkout and payment processing systems available but is not liable for unavailability caused by factors outside its control, including third-party payment processors and network infrastructure.
10. Platform Operators — important disclosure
Platform Operators are independent third parties. Novo42 does not supervise, guarantee, or underwrite their services, goods, financial position, or regulatory compliance. Before purchasing, independently review the Platform Operator’s terms, licences, and regulatory status.
The availability of a Voucher on the Platform Operator’s platform does not constitute investment, financial, or gambling advice, or a representation that the Platform Operator’s goods and services are suitable or lawful in your jurisdiction. Novo42 does not endorse any trading, betting, gaming, or investment activity on a Platform Operator’s platform.
11. Dormancy and expiry
Because Vouchers are applied to your Provider account immediately on purchase, no balance remains with Novo42 after a successful transmission. The value in your Provider account or platform is governed by the Platform T&Cs, including any dormancy or expiry rules. Where a Voucher has not been successfully transmitted due to a Novo42 technical failure, section 63 of the CPA applies as set out in clause 7.4. Contact the Provider directly for questions about your account balance or expiry.
12. Data protection and privacy
Novo42 processes your personal data in accordance with our Privacy Policy at https://www.novo42.com/legal-docs/privacy-policy. We may be required to share personal data with Platform Operators, law enforcement, regulators, or financial crime authorities for AML, fraud prevention, or sanctions screening purposes.
13. Changes to these terms
Novo42 may amend these Terms at any time by posting updated Terms at novo42.com. Your continued use of our services after the effective date of any amendment constitutes acceptance of the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute shall first be referred to good-faith negotiation. If not resolved within 30 days, the dispute shall be referred to the High Court of South Africa, Western Cape Division, Cape Town, which shall have exclusive jurisdiction.
15. General
Severability: If any provision is invalid or unenforceable, the remaining provisions continue in full force.
Entire agreement: These Terms constitute the entire agreement between you and Novo42 regarding the purchase of Vouchers.
Waiver: No failure to exercise a right constitutes a waiver of that right.
Assignment: Novo42 may assign these Terms without your consent. You may not assign without Novo42’s prior written consent.
Language: These Terms are in English. Where a translation is provided for convenience, the English version prevails.
