Digital Goods and Services Terms and Conditions

These Terms govern your purchase of digital goods and services from Novo42. By completing a purchase you confirm that you have read, understood, and agreed to be bound by them.


1. Who we are

Novo42 (Vallivo (Pty) Ltd t/a Novo42, registration number 2024/167596/07) (“Novo42”, “we”, “us” or “our”) acts as the merchant of record and reseller of third party digital goods and services sold through our checkout. When you purchase through Novo42, you are purchasing from Novo42 and not directly from the underlying supplier, platform operator or service provider.

Statement descriptor notice: Your bank or card statement will typically show N42*[MERCHANT NAME] or a similar descriptor for purchases. If you do not recognise a charge, please contact us before raising a chargeback.


2. Definitions

The following terms have the meanings set out below:

  1. “Digital Goods and Services” means digital products, subscriptions, software, licences, cloud services, credits, memberships, downloadable content, in app purchases, streaming services, digital vouchers, or similar products sold by Novo42.
  2. “Underlying Supplier” means the third party supplier, platform operator, publisher, software provider or service provider whose Digital Goods and Services are resold by Novo42.
  3. “Merchant of Record” means that Novo42 is the legal seller of the Digital Goods and Services to you, processes your payment, issues the invoice where applicable, and is responsible for the transaction.
  4. “Customer / you / your” means any person who purchases Digital Goods and Services from Novo42.
  5. “Platform T&Cs” means the terms, licence conditions, end user agreements and other rules of the Underlying Supplier.
  6. “Purchase Price” means the amount paid by the Customer to Novo42.
  7. “CPA” means the Consumer Protection Act 68 of 2008.

3. Novo42’s role

Novo42 purchases or procures Digital Goods and Services from the Underlying Supplier and resells them to you in its own name. Novo42 is the Merchant of Record for the transaction.

This means that:

  • you contract with Novo42 for the purchase;
  • Novo42 processes your payment;
  • Novo42 may issue the tax invoice or receipt;
  • Novo42 provides first line support for payment, billing and delivery related issues; and
  • Novo42 may manage refunds, disputes and chargebacks.

Although Novo42 is the seller of record, the Digital Goods and Services remain subject to the Platform T&Cs of the Underlying Supplier.


4. What you are buying

When you complete a purchase, you are buying a limited right to access or use the Digital Goods and Services described at checkout. Depending on the product, your purchase may include a subscription, one off licence, software access, digital credits, downloadable content, membership or cloud based service.

Unless expressly stated otherwise, your purchase does not transfer ownership of any intellectual property. You receive only a personal, limited, revocable and non transferable right to use the product.


5. Underlying Supplier terms

By purchasing from Novo42 you acknowledge that the Underlying Supplier is a separate legal entity from Novo42 and that your use of the Digital Goods and Services is governed by the Platform T&Cs of that supplier.

Novo42 is not responsible for suspension, termination or limitation of your account by the Underlying Supplier.


6. Eligibility

By purchasing from Novo42 you represent and warrant that:

  • you are at least 18 years old and have legal capacity;
  • you are authorised to use the payment method provided;
  • the purchase is lawful in your jurisdiction; and
  • you are not purchasing for any unlawful, fraudulent or prohibited purpose.

7. Purchase, delivery and VAT

7.1 Order and delivery

A binding purchase contract is formed when Novo42 confirms your order and successfully processes your payment. Digital Goods and Services are generally delivered immediately or shortly after payment confirmation. Delivery may occur by email, activation on your account, display on screen, or access within a platform.

If delivery has not occurred within 24 hours, please contact support@novo42.com.

7.2 Pricing

All prices are displayed in the currency specified at checkout. Additional fees, including currency conversion charges or card issuer fees, may apply.

7.3 VAT

Novo42 is the supplier of record for VAT purposes. Where applicable, VAT will be charged at checkout and reflected on your invoice or receipt.


8. Subscriptions and recurring services

If you purchase a subscription or recurring service, you authorise Novo42 to charge your payment method on a recurring basis at the frequency disclosed at checkout.

Subscriptions automatically renew unless cancelled before the next billing date. Cancellation prevents future charges only and, unless required by law, does not entitle you to a refund for the current billing period.


9. Refunds, chargebacks and CPA rights

9.1 General policy

Because Digital Goods and Services are usually delivered instantly or activated immediately, all sales are final once delivery, activation or access has occurred.

9.2 Exceptions

Novo42 may provide a refund, replacement or reissue where:

  • the product was not delivered;
  • the wrong product was supplied;
  • the product was technically defective due to an error by Novo42; or
  • a refund is required under applicable law.

9.3 Chargebacks

If Novo42 receives a chargeback request and has evidence that the Digital Goods and Services were successfully delivered, Novo42 may contest the chargeback and notify the Underlying Supplier to suspend or revoke the relevant access.

9.4 Statutory rights

Nothing in these Terms limits any rights you have under the CPA or other mandatory consumer protection law.


10. Acceptable use

You may not purchase or use Digital Goods and Services for fraud, money laundering, sanctions circumvention or any unlawful purpose. Novo42 may immediately suspend, cancel or block future purchases where it suspects misuse, breach of these Terms or legal risk.


11. Novo42’s liability

Novo42’s role is limited to reselling and delivering the Digital Goods and Services. Novo42 is not responsible for the systems, performance, availability or conduct of the Underlying Supplier.

To the maximum extent permitted by law, Novo42’s total liability in connection with any purchase shall not exceed the Purchase Price paid for that purchase.


12. Privacy

Novo42 processes your personal data in accordance with our Privacy Policy at https://www.novo42.com/legal-docs/privacy-policy. We may share your personal data with Underlying Suppliers, payment processors, regulators or law enforcement where required.


13. Changes to these Terms

Novo42 may amend these Terms at any time by posting updated Terms at novo42.com.


14. Governing law and disputes

These Terms are governed by the laws of South Africa. Any dispute shall first be referred to good faith negotiation. If not resolved within 30 days, the dispute shall be referred to the High Court of South Africa, Western Cape Division, Cape Town.
